1. Definitions and Interpretations


Definitions


Account An individual or corporate account on DAX (SINEGY Markets).

Available Balance The total asset value of a trader less the amount of open orders held and fees.

Underlying Asset The asset traded on the order book; the first asset in a trading pair. For example, on the BTC/MYR order book, BTC is the underlying asset and MYR is the quote asset.

The CMSA makes laws, among other things, to regulate and provide for matters relating to capital market activities, markets and intermediaries.

Circuit Breaker A volatility control mechanism that activates a trading halt state.

Client An individual with whom a trading account is to be opened or has been opened by a participating institution under these Rules.

The Securities Commission established by the Commission under the Securities Commissions Act.

Companies Act 2016 Companies Act.

Counterparty An individual or client with whom a participant conducts or intends to conduct transactions in digital assets.

DAX means a digital asset exchange as defined in the RMO Guidelines and refers to SINEGY Markets – “Trading Platform” or “DAX”.

Digital Assets are blockchain-based digital currencies, application coins or protocol tokens offered for trading on the SINEGY Market; refer to Bitcoin (BTC), Ethereum (ETH) and Ripple (XRP).

Execution of a successful trade. Also known as a completion.

Filling a match of two orders. Also known as an execution.

Limit Order An order to buy or sell a specified amount of an asset at a specified price.

Market Order An order to buy or sell a security immediately. Such orders guarantee that the order will be executed, but do not guarantee the execution price.

Officer Compliance Officer.

Order An instruction to buy or sell a specified amount of the underlying asset at a specified price in the quoted asset.

Order Book Each order book is filled with orders for trading in a trading pair.

Open Order An order that has been placed but not filled, cancelled or expired.

Order validity is also known as a valid time instruction, such as Good Till Cancelled (GTC), Good Till Expiration (GTD), etc.

Participant An individual trader or company that holds a trading account and trades on DAX.

any prescribed instructions, directions, rulings or guidelines issued by DAX by whatever name or in connection with these Rules, including: (a) any determination or requirement made or imposed by DAX pursuant to any act or matter under these Rules; (b) any terms or conditions imposed pursuant to any act or matter under these Rules; and (c) any requirements imposed by DAX for the proper operation and management of DAX and the Facilities.

Quote Asset means the asset traded on the Order Book; the second asset in a trading pair. For example, on the BTC/MYR order book, BTC is the Base Asset and MYR is the Quote Asset.

Trader A sale or purchase transaction of a digital asset entered on DAX.

Trader Each customer who trades on the SINEGY Market.

Trading Pause Trades will not be matched, but Traders may place, cancel or modify orders.

Trading Pairs The Base Asset and Quote Asset for each pair listed on DAX.

Effective conditions are also referred to as effective time.

Explanation


1. Unless the context otherwise requires, the terms or expressions defined in the following Acts shall have the same meaning as in the following Acts when used in these Rules:


Capital Markets and Services Act;


Securities Commission Act


Companies Act.


2. In addition to the above, certain other terms and expressions are defined in the various chapters. These definitions apply only to the Articles containing such definitions and the instructions issued under the Rules.


3. The terms and expressions defined in Rule 1.0 Definitions shall also apply to any instruction or SOP unless the instruction or SOP provides otherwise.


4. A reference to a regulation is a regulation as amended, re-enacted or consolidated, including regulations, rules or other statutory instruments made thereunder.


5. A reference to a rule, instruction, guide or requirement of a digital asset trading holding company, commission or central bank or other relevant party is a reference to that rule, instruction, guide or requirement as amended, supplemented, consolidated or replaced.


6. The singular includes the plural and vice versa.


7. A reference to a participant includes an individual, company, partnership and corporation.


8. References to writing include any manner of presenting or reproducing letters, graphics or marks in visible form.


9. Where a word or phrase is defined in these Rules, any other grammatical form of that word or phrase has the corresponding meaning.


10. References to rules, sections, schedules or appendices are to the relevant rules, sections, schedules and appendices of these Rules.


11. Headings and sub-headings are inserted for ease of reference only and do not affect the interpretation and construction of the Rules.


12. References to days or months are to calendar days or calendar months.


13. References to times of day are to Malaysian time.


14. References to “suspension” or “cessation” in relation to digital asset transactions include “prohibition”, “interruption”, “reserve”, “suspend” or “freeze” where the context permits.


DAX Rules


These Rules must be read in conjunction with:


These Regulations;

Securities Laws;

The Capital Markets and Services Act, 2007, the Capital Markets and Services (Securities Prescription) (Digital Currency and Digital Tokens) Order, 2019;

and any other law or authority requirements.


Binding Effect of Rules


These Rules shall be binding on Participants in the manner provided for in section 354 2(u) of the Capital Markets and Services Act.


Contract to Comply with the Rules


These Rules shall have the same force and effect as a contract between:


Digital Asset Exchange and its Participants, each of which enters into an agreement with DAX to comply with these Rules, Regulations and Directives and to perform the obligations required by these Rules, Regulations and Directives.
